Terms of Service
Effective October 19, 2026
1. Who this is between
These terms are an agreement between Apex Pest Solutions LLC, Milton, Vermont, doing business as Apex Pest Software ("APS", "we", "us") and the business that creates an account ("you", "your company"). By creating an account or using the service you accept them. If you're signing up for a company, you're telling us you're allowed to.
2. What the service is
APS is web software for pest control companies: a customer book, scheduling, work orders and pesticide application records, invoicing, an inbox for calls, texts and e-mail, supplies and fleet records, and "Aggie", an AI assistant that answers calls and messages, drafts replies, books appointments and answers questions from your company's data, within the limits you set in your settings.
3. Your account and your team
- You're responsible for everyone you add to your company and for what they do under their logins. Keep passwords private; tell us right away if you think an account was misused.
- The Owner role controls billing, users, settings and Aggie's permissions. Give it only to people who should have it.
- You must be 18 or older and using APS for a business.
4. Trial and fees
- New companies get a free trial (currently 14 days). No card is needed to start.
- After the trial, the fee is 3.5% of sales invoiced through APS — the invoices you send from the app. There is no monthly, per-user, per-truck, per-call or setup fee. Phone-number and text-message carrier costs are included.
- Fees are collected through Square on the schedule shown in your billing settings. Fees are non-refundable once charged, except where the law says otherwise or we got it wrong.
- We'll give at least 30 days' notice before changing prices.
5. Aggie: an AI assistant you supervise
- Aggie generates text and speech with an AI model from what callers and customers say and from the facts you put in your settings (the "Canon"). She can be wrong, misunderstand, or miss something. You decide how much she does — from watching only, to answering, to booking — and you're responsible for checking her work and for what your company says and promises to customers through her.
- Aggie is not a licensed pest control professional, lawyer, accountant or safety authority. Label and chemical information in APS is for convenience: the printed product label and your state's rules govern, and your licensed applicator is responsible for every application.
- Calls may be recorded and transcribed when you turn that on. You're responsible for complying with recording-consent law where you operate.
6. Texts, calls and phone numbers
- APS can provide a phone number for your company and send texts and place calls on your behalf through a telecom carrier. You're the sender. You must have your customers' consent to text them, honor opt-outs (STOP), respect quiet hours, and follow the TCPA, CAN-SPAM, state law and carrier rules. The booking page APS gives you records consent for you; use it.
- US carriers require business text registration (A2P 10DLC). We file it using the business information you give us; texting stays off until the carriers approve, and you must give us accurate information.
- Numbers are provided for use with APS. If your account closes, the number is released unless you ask to port it out within 30 days.
7. Your data
- Your customers, jobs, records, messages and files are yours. We don't sell them and we don't use them to train AI models. We use them only to run the service for you and as the Privacy Policy describes.
- You can ask for an export of your data (CSV) at any time, and within 30 days after closing your account. After that we delete it, except backups that age out on their own and records the law requires us to keep.
- You're responsible for having the right to put the data you upload into APS, including data exported from a previous system.
8. Connected services
If you connect Gmail, a bank (through Plaid), Square or another service, you authorize APS to access it as described when you connect it, and their terms apply to your use of them. Disconnect any of them at any time in settings.
9. Acceptable use
Don't use APS to break the law, to send unsolicited messages, to harass anyone, to store information you have no right to, or to attack, probe or overload the service. Don't resell access without our written agreement. We can suspend an account that puts other customers, carriers' trust in us, or the service at risk; we'll tell you why.
10. Availability and support
We work to keep APS up and fast, but we don't guarantee it will be uninterrupted or error-free. We may change features; we won't remove a core function without notice. Support is by e-mail and the in-app Clinic page.
11. Warranties and liability
APS is provided "as is" and "as available." To the fullest extent the law allows, we disclaim implied warranties, including merchantability and fitness for a particular purpose. We are not liable for indirect, incidental, special or consequential damages, lost profits, or lost data, and our total liability for any claim is limited to the fees you paid us in the 12 months before the claim. Some states don't allow these limits, in which case they apply as far as the law permits.
12. Indemnity
You'll defend and hold us harmless from claims arising from your company's use of APS in violation of these terms or the law — including messages sent to people who hadn't consented and pesticide applications performed under your license.
13. Ending this
You can close your account at any time from settings or by e-mailing us; fees already incurred remain due. We can end or suspend service for breach of these terms with notice, or immediately where the breach is serious or the law requires. Sections 7, 11, 12 and 15 survive.
14. Changes to these terms
We may update these terms. For material changes we'll e-mail the account owner at least 30 days ahead; continued use after that is acceptance. The current version is always at this address.
15. Law and disputes
These terms are governed by the laws of the State of Vermont, without regard to conflict-of-law rules. Disputes are resolved in the state or federal courts located in Vermont, and each party consents to that jurisdiction. If a provision is unenforceable, the rest stays in effect.
